Background:

PALTEL was established in 1995 as a public shareholding company with JD45 million in paid-up capital. In 1999, PALTEL increased its paid up capital to JD67.5

million. PALTEL was granted a 20-year license by the Palestinian National Authority (PNA) to develop and provide telecom services in the West Bank and Gaza Strip

(WBGS). Under the terms of the agreement, which began on November 15, 1996, PALTEL has the exclusive right to provide such services in the PNA’s territories

for a 10-year period for fixed line services. It also has the exclusive right to provide such services for mobile users for a 5-year period or upon reaching 120,000

subscribers, whichever comes first. According to the agreement, PALTEL has to pay the PNA 7% of its annual operating revenues in license fees.

In 2000, PALTEL established the Palestine Cellular Communications Co. (PALCEL), also known as (JAWWAL), with an authorized share capital of JD10 million.

65% of JAWWAL was owned by PALTEL, while the remaining shares were owned by the Palestinian Investment Fund (PIF). In 2003, PALTEL purchased PIF’s

shares in JAWWAL.

Financial & Operating Highlights:

• In 2005, PALTEL expanded its operations to provide a “quadruple play” of telco services. It established HADARA, an Internet Services Provider that captures

between 55-60% of the internet market in the Palestinian Territories, and PALMEDIA, a media services company with centers in the West Bank and Gaza, which will

offer breaking news and schedule official Palestinian conferences.

• Net income came in at JD70.06 million for FY05 from JD38.03 million in FY04, an increase of 84.22%. Operating revenues grew by 25.39% from JD121.4 million to

JD152.2 million over this period. However, investment income accounted for approximately 21.21% of PALTEL’s bottom line. The company realized gains of

JD11.98 million on traded securities and posted JD2.88 million in unrealised investment gains.

• As a result of a settlement with two Israeli telecommunications companies over interconnection fees, PALTEL released the excess provisions of JD7.2 million that it

had already allocated for the case to net income. This one-time gain helped boost its bottom line.

• PALTEL completed a dual listing on the Abu Dhabi Securities Market (ADSM) on December 26, 2005 at an opening share price of AED80. 30% of the company’s

total outstanding shares are traded on the ADSM.

• In 2005, PALTEL distributed JD0.20/share in cash dividends and 50% in stock dividends, which increased PALTEL’s outstanding shares to 101.25 million.

PALTEL’s Board recommended increasing the company’s capital to JD170 million in 2006 through a 20% stock dividend and a 40% rights offering at a par value of

JD1/share and an issuance premium of JD3/share. In addition, 8 million shares will be allocated as treasury stock. PALTEL is expected to hold its AGM on March

25, 2006 to decide on the capital increase.

• JAWWAL accounts for approximately 55% of PALTEL’s profits and currently captures over 52% of the mobile market; it faces illegal competition from 4 Israeli

operators. JAWWAL has around 600,000 mobile subscribers and is targeting 1 million subscribers by January 2007.

• PALTEL’s plans for expansion received a push with the establishment of a holding company in the United Arab Emirates (UAE) under the name VTEL Holdings,

which will serve as the company’s regional investment arm in information and communications technology (ICT) in the MENA region. PALTEL is pursuing business

interests in the UAE, Afghanistan, Saudi Arabia, Iraq, Jordan, Egypt., Morocco, and Kazakhstan.

• Including investment revenue and revenue generated outside of Palestine, management forecasts 2006 net income to come in at approximately JD81 million.

Management forecasts 2006 net operating income to come in at approximately JD71 million on revenue of JD201 million. PALTEL should maintain an EBITDA

margin of 50% and a net income margin of 35% for 2006. Relative to its industry peers, PALTEL has an upside potential between 15-20% at its current price levels.
